Frequently Asked Questions

What is the difference between a board & advisory role?

While there are commonalities between board members and advisors, their roles within a company are fundamentally distinct, each with its unique impact and significance.

Firstly, regarding similarities: both advisors (or advisory boards) and board members (or the board of directors) share the overarching objective of enhancing corporate governance and performance. This entails conducting thorough situational analyses, offering recommendations, providing valuable insights, leveraging networks, and exploring various strategic avenues.

However, significant differences exist between the two. Advisors typically offer guidance and suggestions without the authority to enforce decisions. Conversely, board members possess broad powers, including the ability to override management decisions when deemed necessary. Moreover, while advisory board members carry no legal or financial obligations, board members bear specific responsibilities and are legally obligated, often necessitating insurance coverage.

The preparation and frequency of meetings also diverge between the two. Board meetings typically demand more comprehensive preparation and adhere to a regular schedule compared to advisory board meetings. Additionally, board members often receive higher compensation to reflect their increased responsibilities and the intensity of their workload.

To streamline this process, SVX facilitates the identification of requirements and matches suitable candidates who not only fulfill functional needs but also resonate with the cultural values of your company.

Are board and advisory positions paid?

Advisors or board members are always paid. The structure of this compensation, however, depends on each company – and especially, their stage of development.

For governance purposes, typically compensation is made in form of fees, sweat equity, or a combination of the two.

How much time do you need to dedicate to a board or advisory position?

Short answer: there is no single answer.

It varies greatly from company to company and can be anything from a few hours per month up to 1 working day on a weekly basis.

No matter what, the time you’re expected to spend in the position usually defined at the beginning of the contract and can be changed on an ongoing basis by mutual agreement.

This should also be reflected on the compensation agreed upon.

Do I need specific education to get a board position?

This is not necessary – but it can be a plus.

While there are many value-creating board members who have never taken board training, SVX does open periodic courses on the matter to members who are looking to take their skillset to the next level.

This can be especially important for people getting started, moving on to prominent positions in boards (such as Chairman position) or taking on positions in more international boards.
